1. Agreement to Terms

By accessing or using the services provided by WebsWandi Pvt. Ltd. ("WebsWandi," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

WebsWandi provides technology solutions including but not limited to:

• Web development and design
• Mobile application development
• IT consulting services
• Cloud and DevOps solutions
• Research and development services
• Enterprise solutions

3. User Responsibilities

You agree to:

• Provide accurate and complete information when using our services
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized use of your account
• Use our services in compliance with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Not interfere with or disrupt our services or servers

4. Intellectual Property Rights

Our Intellectual Property

All content on our website and in our services, including text, graphics, logos, images, software, and code, is the property of WebsWandi or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Client Intellectual Property

Ownership of deliverables and intellectual property rights will be specified in individual service agreements. Generally:

• Custom work created specifically for clients becomes the client's property upon full payment
• We retain rights to pre-existing code, frameworks, and tools used in projects
• We may showcase completed projects in our portfolio unless otherwise agreed

5. Payment Terms

• Payment terms will be specified in individual service agreements or invoices
• All fees are in Indian Rupees (INR) unless otherwise specified
• Invoices are due within the timeframe specified in the agreement
• Late payments may be subject to interest charges and suspension of services
• All fees are non-refundable unless otherwise stated in the service agreement
• We reserve the right to change our pricing with 30 days notice

6. Project Scope and Changes

The scope of work for each project will be defined in a statement of work or project agreement. Any changes to the agreed scope may result in additional fees and timeline adjustments. Change requests must be submitted in writing and approved by both parties.

7. Confidentiality

We respect the confidentiality of your business information. Both parties agree to keep confidential information private and not disclose it to third parties without consent, except as required by law or necessary to perform services.

8. Warranties and Disclaimers

Limited Warranty

We warrant that our services will be performed in a professional and workmanlike manner. Specific warranty periods for deliverables will be outlined in service agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE AGREEMENTS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WebsWandi's total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• These limitations apply even if we have been advised of the possibility of such damages

10. Indemnification

You agree to indemnify and hold WebsWandi harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate services under the following conditions:

• By mutual written agreement
• For material breach of terms, with 15 days written notice to cure
• Immediately if the other party becomes insolvent or files for bankruptcy
• As specified in individual service agreements

Upon termination, you must pay all outstanding fees for services rendered.

12. Support and Maintenance

Post-project support and maintenance services are available as separate agreements. The scope and cost of ongoing support will be outlined in maintenance agreements.

13. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or technical failures.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.

15. Dispute Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes may be resolved through mediation before pursuing legal action.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and WebsWandi regarding our services and supersede all prior agreements and understandings.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes constitute acceptance of the modified Terms.
